By accessing, viewing, downloading, using, participating in, or otherwise interacting with the Website, Materials, Programs, Frameworks, or related resources, you acknowledge that you have read, understood, and agree to be bound by these Terms.

"Materials" means all content, resources, frameworks, programs, presentations, downloads, videos, graphics, diagrams, screeners, surveys, rubrics, assessments, quizzes, templates, handouts, guides, manuals, documents, websites, applications, intellectual property, and related resources provided by WeeKids PsychCare, Inc.
"Frameworks"
"Frameworks" means BASEtalk™, DACS™, BASEtalk Human Lens™, Communication Safety Pathway™, ACE-to-BASE™, Mini SEL System™, Prevention Before Escalation™, and related models, methodologies, pathways, initiatives, architectures, implementation systems, educational resources, and proprietary concepts developed by WeeKids PsychCare, Inc.
"User"
"User" means any individual, organization, school, district, agency, business, contractor, consultant, educator, caregiver, administrator, clinician, student, visitor, purchaser, licensee, reviewer, participant, or other person accessing, reviewing, downloading, receiving, using, sharing, implementing, or interacting with the Website or Materials.
"Institution"
"Institution" means any school, district, university, government agency, nonprofit organization, public-sector entity, private organization, corporation, association, educational institution, or other organized entity.
"Authorized Use"
"Authorized Use" means use expressly permitted by these Terms or by a separate written agreement executed by WeeKids PsychCare, Inc.
Foundational Disclaimers
1. Educational and Prevention-Focused Purpose
WeeKids PsychCare products, programs, screeners, educational materials, professional-development materials, communication frameworks, and related initiatives are provided for educational, prevention-focused, informational, training, and communication-support purposes only.
They are designed to support:
· communication safety
· prevention-focused education
· adult awareness
· classroom climate
· early support
· professional learning
· caregiver communication
· school-community collaboration
· non-clinical skill-building
· general MTSS/PBIS-aligned prevention discussion
They are not clinical services.
They are not medical, psychiatric, psychological, therapeutic, legal, emergency, or crisis services.
2. No Clinical Services or Provider-Patient Relationship
Use of this website or any WeeKids PsychCare material does not create:

These materials do not provide:

· law enforcement functions
· criminal investigations

· emergency management services
· crisis response services
· emergency notification services

Any references to school safety, prevention, communication safety, student well-being, climate, connection, early intervention, MTSS, PBIS, or related concepts should not be interpreted as providing security services, threat assessment services, emergency response services, or safety technology.

WeeKids PsychCare, BASEtalk, ACE-to-BASE, DACS, BASEtalk Human Lens, Communication Safety Pathway, Mini SEL System, Prevention Before Escalation, and related materials may reference research studies, professional literature, educational theories, conceptual models, scientific publications, developmental frameworks, communication principles, prevention strategies, and related scholarly or professional sources.
Research citations, references, summaries, graphics, diagrams, educational explanations, interpretations, examples, and discussions are provided solely for informational, educational, professional-development, and training purposes.

Public school use, staff training, classroom implementation, screening-related activity, pilot participation, professional development, district deployment, LMS integration, outcome tracking, or other institutional use requires appropriate authorization.
This may include, as applicable:

No school, district, agency, or organization may represent that WeeKids PsychCare, BASEtalk, ACE-to-BASE, or related materials are officially adopted, approved, endorsed, or implemented without written authorization from WeeKids PsychCare, Inc. and appropriate institutional approval.
14. User Responsibilities
Users agree to use WeeKids PsychCare materials responsibly, lawfully, and only within their role, authority, training, and applicable professional boundaries.
Users are responsible for:
· using professional judgment
· following school and district policies
· following mandated reporting requirements
· following crisis and emergency protocols
· protecting student and family privacy
· avoiding unauthorized data collection

Any student-related data tracking must occur only through district-approved systems and in alignment with applicable:

These tools are not:

· special education evaluations

· suicide-risk assessments

· eligibility-determination tools

18. Professional Judgment Required
WeeKids PsychCare materials are not a substitute for professional judgment.
Educators, administrators, clinicians, caregivers, school safety personnel, and other users must apply their own professional, ethical, legal, and institutional responsibilities.
Materials should be adapted only within authorized use and should never override:

Any current or future certification marks, credential marks, trainer designations, practitioner designations, facilitator designations, educator designations, or related credential identifiers developed by WeeKids PsychCare, Inc. remain proprietary intellectual property and may only be used by individuals expressly authorized in writing.
Trade Secrets and Confidential Information
Certain Materials, Frameworks, methodologies, implementation systems, architectures, training structures, developmental models, educational processes, business processes, licensing systems, and operational approaches may constitute trade secrets and confidential proprietary information of WeeKids PsychCare, Inc.
Users may not disclose, reproduce, extract, reverse engineer, share, teach, publish, commercialize, or otherwise exploit such confidential information except as expressly authorized in writing.
All rights are reserved.
Nothing on this website grants ownership rights, intellectual property rights, trademark rights, copyright rights, trade secret rights, licensing rights, derivative-work rights, resale rights, or redistribution rights unless expressly provided in a signed written agreement.
Proprietary Methodology
Certain frameworks, implementation methods, architectures, developmental models, training methodologies, system designs, operational structures, educational processes, and related materials may constitute proprietary and confidential intellectual property of WeeKids PsychCare, Inc.

Framework and Program Names
The names of WeeKids PsychCare frameworks, methodologies, pathways, initiatives, programs, implementation systems, educational resources, certifications, training systems, and related intellectual property constitute proprietary brand assets.
Users may not rename, rebrand, market, distribute, certify, license, teach, commercialize, or present substantially similar products, services, trainings, certifications, frameworks, methodologies, initiatives, or programs using WeeKids PsychCare™ marks or confusingly similar names without written authorization.
Certification and Credential Marks
Any current or future certification marks, trainer designations, facilitator designations, educator designations, practitioner designations, implementation designations, credential identifiers, certificates, seals, badges, insignias, logos, endorsements, or recognition programs developed by WeeKids PsychCare, Inc. remain proprietary intellectual property.
No person may claim certification, authorization, endorsement, licensure, credentialing, designation, trainer status, facilitator status, practitioner status, educator status, or affiliation with any WeeKids PsychCare™ program, framework, methodology, certification, or initiative unless expressly authorized in writing.
Nominative Reference

Unauthorized LMS Use
Except as expressly authorized by a separate written agreement with WeeKids PsychCare, Inc., Materials may not be uploaded, stored, hosted, embedded, integrated, distributed, reproduced, displayed, transmitted, assigned, sublicensed, or otherwise made available through any:
• learning management system (LMS)
• educational platform
• training platform
• district content repository
• curriculum management system
• professional-development platform
• employee training portal
• intranet
• content library
• resource hub
• digital course system
• online classroom platform
• institutional knowledge base
• school or district technology platform
including but not limited to Canvas, Schoology, Blackboard, Moodle, Google Classroom, Microsoft Teams, SharePoint, or similar systems, unless expressly authorized in writing by WeeKids PsychCare, Inc.
23. No Redistribution
Users may not redistribute, share, upload, post, publish, email, copy, print for mass use, sell, license, or otherwise distribute WeeKids PsychCare materials without written permission.
This includes redistribution through:
· websites
· school LMS platforms
· Google Drive
· Microsoft Teams
· Canvas
· Schoology
· Blackboard
· SharePoint
· social media
· newsletters
· paid courses
· conference materials
· workshops
· staff trainings
· grant applications
· public folders
· shared drives
· AI tools
· file-sharing platforms
Limited internal sharing may be permitted only when expressly authorized in writing or included in a signed institutional agreement.
For avoidance of doubt, uploading Materials to any LMS, educational platform, district repository, shared drive, intranet, content management system, or institutional training platform constitutes redistribution unless expressly authorized in writing.
24. No Reverse Engineering or Competitive Use
Users may not reverse engineer, deconstruct, copy, extract, replicate, imitate, scrape, systematize, or reconstruct WeeKids PsychCare materials, frameworks, pathways, training structures, models, language systems, screeners, surveys, rubrics, or implementation tools whether manually, digitally, through observation, through artificial intelligence systems, through training attendance, through implementation participation, or through derivative documentation.
Users may not use WeeKids PsychCare materials to create, develop, train, market, sell, or support competing:
· programs
· frameworks
· apps
· trainings
· professional-development systems
· SEL systems
· MTSS tools
· school safety tools
· communication frameworks
· screening systems
· educational products
· consulting services
· AI systems
· content libraries
This restriction applies whether the competing product is commercial, nonprofit, internal, grant-funded, school-based, district-based, or public-sector.
25. No AI Training, Scraping, Handwritten or Automated Extraction
Users may not use bots, crawlers, scrapers, automated tools, artificial intelligence systems, machine learning systems, dataset builders, or similar technologies to collect, extract, index, summarize, reproduce, transform, train on, or generate derivative content from WeeKids PsychCare™ materials without written permission. Users may not use Materials as prompts, training examples, source content, retrieval content, fine-tuning content, benchmark content, synthetic-data generation content, or model-development content for artificial intelligence systems without written permission.
This includes use in:
· AI model training
· AI fine-tuning
· retrieval systems
· content-generation tools
· automated curriculum generators
· commercial databases
· knowledge bases
· competing product development

26. No Implied Endorsement, Affiliation, or Partnership
Reference to any school, district, state law, framework, funding source, public program, agency, organization, professional standard, PBIS, MTSS, trauma-informed principles, school safety practices, Handle with Care principles, or other third-party concept does not imply endorsement, affiliation, sponsorship, approval, certification, partnership, authorization, or formal relationship.
WeeKids PsychCare is not affiliated with, endorsed by, sponsored by, or officially connected to any third-party organization unless expressly stated in writing.
Users may not imply that WeeKids PsychCare™ endorses their school, district, organization, product, service, training, or implementation without written permission.
Nothing in these Terms, any training, pilot, consultation, communication, implementation activity, funding discussion, sponsorship discussion, or other interaction shall be interpreted as creating a partnership, joint venture, agency relationship, fiduciary relationship, employment relationship, or legal affiliation between WeeKids PsychCare, Inc. and any User or Institution.

Downloadable materials, templates, graphics, handouts, rubrics, forms, checklists, and other resources remain the intellectual property of WeeKids PsychCare, Inc. unless otherwise stated.
Downloading a resource does not grant ownership.
Users may not remove copyright notices, trademark notices, disclaimers, attribution, branding, or usage restrictions.
Downloaded materials may not be modified, redistributed, uploaded, sold, adapted, or incorporated into other products without written permission.
33. Paid Programs, Pilots, Training, and Institutional Agreements
Certain programs, trainings, pilots, district implementations, professional-development offerings, data tools, LMS use, or school-based deployments may require a separate written agreement.
If a separate agreement exists, that agreement controls where it conflicts with these Terms.

· licensure
· credentialing

· accreditation
· qualification
· authorization
· professional designation

· clinical competency determination
· school safety certification
· threat assessment certification
